1. Agreement to Terms

By accessing or using any IFO4 platform, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our platforms. These terms constitute a legally binding agreement between you and IFO4.

We may update these terms from time to time. When we make material changes, we will notify you by email at least 30 days in advance. Your continued use of IFO4 platforms after that notice period means you accept the updated terms.

2. About IFO4

IFO4 (International Financial Operations Authority) is a Delaware-registered organization that operates 35 platforms for financial operations professionals. Our platforms provide certifications, training, professional community, research, standards, benchmarking, and related services. A full list of our platforms is available at ifo4.org.

3. Your Account

We reserve the right to suspend or terminate accounts that violate these terms, contain false information, or are used for unauthorized purposes.

If revocation is being considered, you will be notified in writing and given 30 days to respond before a final decision is made. You may appeal a revocation decision within 60 days of the decision. Appeals are reviewed by a panel independent of the original decision-makers.

Platform liability disclaimer

IFO4 provides the social.ifo4.org platform but does not create, endorse, or guarantee the accuracy of user-generated content. Under Section 230 of the Communications Decency Act (United States) and equivalent safe harbor provisions in other jurisdictions, IFO4 is not liable for content posted by users. We act in good faith to moderate content, but we cannot review every post in real time.

Some IFO4 platforms include features powered by artificial intelligence. These features are tools intended to assist you, not replace your professional judgment.

11. Data and Benchmarks

IFO4 produces industry benchmarks, reports, and research using anonymized, aggregated data. By creating an account, you consent to the use of your data in anonymized and aggregated form for these purposes. No individual person is identifiable in any benchmark report or published research. You may withdraw this consent at any time by contacting privacy@ifo4.org, though this will not affect data already included in published reports.

12. Third-Party Services

IFO4 platforms integrate with third-party services including Stripe (payments), Vercel (hosting), Cloudflare (security and content delivery), and others. These third-party services have their own terms of service and privacy policies. IFO4 is not responsible for the practices, availability, or performance of third-party services. Your use of third-party services is governed by their respective terms.

IFO4 platforms and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, IFO4 makes no warranties, express or implied, regarding the platforms, including but not limited to:

14. Limitation of Liability

To the maximum extent permitted by applicable law, IFO4's total liability to you for any claims arising from or related to your use of our platforms is limited to the amount you paid to IFO4 in the 12 months immediately preceding the event giving rise to the claim.

IFO4 is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or reputational harm, regardless of whether we were advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless IFO4, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

16. Dispute Resolution

Governing law

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Arbitration

Any dispute arising from or relating to these terms or your use of IFO4 platforms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association in Wilmington, Delaware. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

You agree that any disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative action against IFO4.

Small claims exception

Either party may bring an individual action in small claims court instead of arbitration, provided the claim falls within the court's jurisdictional limits.

EU and UK users

If you are a consumer in the European Union or United Kingdom, nothing in this section limits your statutory rights, including your right to bring claims in the courts of your country of residence. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

We may modify these terms from time to time. For material changes, we will send you an email at least 30 days before the changes take effect. If you do not agree with the revised terms, you should stop using IFO4 platforms before the new terms take effect. Your continued use after the effective date constitutes acceptance of the revised terms.
